AKD advises Bernhoven on issuance of convertible bonds

​Bernhoven is a regional hospital located in Uden and Oss. Bernhoven has a new approach to organising health care: reducing costs by focussing on quality. Bernhoven's motto: better healthcare through less healthcare is sensible health care. Part of its approach is to involve the stakeholders in the hospital more closely, and therefore Bernhoven now offers all its employees the opportunity to participate in the hospital. AKD advised Bernhoven on the structuring of the participation through the issuance of convertible bonds. In the future, however, if Dutch politicians are willing to cooperate, these bonds may be converted into shares. This form of participation is unique in the Dutch hospital sector.

 

AKD advised Bernhoven on the legal aspects of the issuance of the convertible bonds (both from a corporate and a financial supervision law perspective). Dutch newspaper FD published an article (in Dutch) on this transaction on 31 August and 7 September.
