AKD advises Azbil Telstar, S.L. in connection with the sale of its Dutch subsidiary to The Baker Company Inc.

​​Azbil Telstar, S.L. ('ATL'), head of the Spanish Azbil Telstar Group which forms part of Japanese Azbil Corporation (listed on the Tokyo Stock Exchange (Azbil Corp, TYO: 6845)), has sold and transferred its Dutch subsidiary Azbil Telstar Benelux B.V. (the 'Company') to US-based The Baker Company Inc.

 

Based in Terrassa (Spain), ATL heads a global group of companies considered to be one of the world's leading manufacturers of microbiological safety cabinets, laminar flow work benches and related products for contamination control within the life sciences industry. Since 2012, ATL forms part of Azbil Corporation, a leading Japanese conglomerate active in building automation, advanced automation and life automation for healthcare (Tokyo Stock Exchange (Azbil Corp, TYO: 6845)).

 

ATL's Dutch subsidiary Azbil Telstar Benelux B.V. comprises the business of a number of entities operating within the same industry, which ATL (or its legal predecessors) have acquired over the years and in which transactions AKD was also involved as legal counsel to ATL since 2007.

 

The Baker Company, Inc, headquartered in Stanford, Maine, USA, is at the forefront of engineering, testing and production of reliable laboratory contamination control equipment and is recognized as pioneer in this industry.

 

AKD acted as legal counsel to Azbil Telstar, S.L. and Azbil Corporation in this transaction, in close cooperation with Aldgate Capital Partners as financial M&A advisor to ATL. 

 

The team of AKD was headed by Carlos Pita Cao  and further consisted Laura de Jong, David Molenaar, Pieter Huys and Mariëlle van Winden - Spaans.

 

The Baker Company Inc. retained Van Benthem & Keulen (VBK) as its legal counsel. VBK also acted as Notary in this transaction.
